B. Cadano Eusèbe Riel

Riel is an Associate in PJS Law.

Riel’s main areas of practice include mergers and acquisitions, energy and energy litigation, infrastructure, labor, litigation and immigration.

Riel received her Juris Doctor degree from the University of the Philippines in 2021 and was admitted to the Philippine Bar in 2022. She received her Bachelors of Science in Economics from the University of the Philippines School of Economics, where she graduated in 2015.

Experience

• EdgePoint Infrastructure: Acting as Buy-side advisor to Edgepoint in the successful bid and acquisition financing for PLDT Inc.’s telecommunication towers and related passive telecommunications infrastructure.

• Renewable energy company: Assisting client in the proposed acquisition by a power generation company, and a joint venture of a foreign and local investors, of the client’s renewable energy projects through a competitive tender process. Work includes review the proposed transaction structure for the competitive selection process for the acquisition of renewable energy projects.

• Japanese renewable energy company: Assisting client in relation to its proposed equity investment in an onshore wind power project being developed by power generation company.

• Specialist service provider: Acting in its proposed acquisitions of the Philippine subsidiaries of a global service provider. Work includes conducting legal due diligence of targets corporate documents, permits, intellectual property and other material contracts; assistance in the review of the transaction documents; represents client in the negotiations; and provides assistance in closing activities.

• Various clients: Acting as corporate retainer to domestic companies regarding various regulatory queries.

• Various clients: Assisting private companies in navigating regulations and designing instruments in furtherance of infrastructure projects.

• Various clients: Assisting in performing due diligence and providing legal advice in furtherance of mergers and acquisitions.

• Various clients: Assisting in Point-to-Point applications, disputes and other applications filed before the Energy Regulatory Commission.

• Various clients: Assisting private generation companies in reviewing regulatory frameworks in connection with restructuring.
