Power generation company and its wholly-owned subsidiaries: Part of the team acting as counsel to a leading power generation company and its wholly-owned subsidiaries for land due diligence and project development assistance for renewable energy projects. Work includes providing legal advice to address issues pertaining to land use conversion, tenurial instruments for use of public land, tenurial instruments for specially classified lands and dealings with unregistered land.
Confidential client: Part of the team acting as counsel to a subsidiary of a Philippine diversified company in their acquisition and titling of real property to be used as the project sites for coal-fired power plants and for the acquisition of rights of way for said plants.
Various power generation companies: Assisting private generation companies and distribution utilities in seeking approval from the Energy Regulatory Commission for power supply or energy sales agreements. Work includes review of power supply contracts, preparation of Application with the Energy Regulatory Commission.
Various clients: Part of the team acting as counsel to clients on various land dispute matters involving the acquisitions of several parcels of land that will be used as project sites for the construction and development of power plants projects.
Various clients: Assisting in several litigation matters in the Firm. Work includes drafting of pleadings, preparing the theories of the case, and providing legal advice to clients.
Edgepoint Infrastructure: Part of the team acting as transaction counsel in the acquisition of telecommunications towers and related passive telecommunications infrastructure owned by the Philippine Long Distance Telephone Company (PLDT).
Confidential client: Part of the team acting as counsel to a Japan-based company in its proposed acquisition of card printing and production facilities company in the Philippines. Work involves conducting review of the corporate structure of the target and providing legal analysis on compliance with regulations on foreign equity restrictions.
Agri-manufacturing company: Part of the team acting as counsel to a wholly-owned subsidiary of one of Philippines’ leading manufacturing and food processing company in its proposed acquisition of a producer and exporter of agricultural products.
Specialist service provider: Acting as counsel to client in its proposed acquisitions of the Philippine subsidiaries of a global service provider. Work includes conducting legal due diligence of targets corporate documents, permits, intellectual property and other material contracts; assistance in the review of the transaction documents; represents client in the negotiations; and provides assistance in closing activities.
Confidential client: Part of the team that advised a private equity company on the over US$20 million capital investment in a telecommunications infrastructure sharing company. The investment will be used to roll out the Philippine project company’s development projects and next-generation connectivity solutions.
Multinational agribusiness: Advising client in regulatory framework and legal matters on importation in Philippines jurisdiction. The PJS Law team likewise provided advisory services in relation to product labelling and risk assessment.
